Who's a "Subsidiary" Company?

I'm studying for Judicial Services and I'm stuck on this MCQ: "Identify the type of company formed by a subsidiary company of a foreign company". One of my friends says it's a "Branch" (Section 4(1)(vii) of the Companies Act, 2013), but I'm pretty sure it's a "Subsidiary" (Section 2(6) - 'company' means any company incorporated under this Act or under any previous company law). But I might be wrong, and I don't wanna get it wrong in the exam.

Friend: "Arre, branch hai na? BC No. 4 ke 1(vii) mein kaha hai ki branch company kya hai."

Me: "No no, koi branch nahi! Subsidiary hai, BC 2(6) ke 6th line mein likha hai.
