I'm really getting confused with Section 53 of the Companies Act. Kya aap jante hain? It says the company has power to transfer its undertaking to another company, but then it says the transfer can be made only with the sanction of the Central Government? So, are we saying the company has all the power, lekin phir woh power ko iske paas nahin hai? Yeh kaisa ho sakta hai? It seems to me, kuchh contradictory hain jo koi explanation nahin de raha hai. Maine bahut padha, lekin abhi tak mujhe yeh section ka koi clear concept nahin mila hai. Koi bhaap bhai koi solution hai ya toh main hoon hi galat?

Section 53 Companies Act 2013 ka matlab hai ki jo koi company apne directors ko discharge karne ka notice deti hai, uske 30 din bad us directors ko discharge karne ka option milta hai. Par yeh section bahut complex hai aur uska interpretation karna mushkil ho sakta hai. To, humein yeh dhyan dena hoga ki is section ka matakya aapko kya hai.
