So basically, a private company can issue a prospectus only once, and after that, if it wants to issue more shares, woh toh pata hi nahi kaise karega. Iss problem ko solve karne ke liye, aapko registered prospectus banana hoga. Aur woh prospectus ismein shaamil hoga - company ki jankari, share ki jankari, aur sabse zyada important, koi bhi misrepresentation or misleading statement nahi hona chahiye. Warna shareholder ko bura lagega. Aur share price thoda bada ho jaayega. Phir companies ke owners khush karein gaye.

Section 22 of Companies Act hain to bahut problematic. Unka uddeshya aapke company ka business hai ya nahin, lekin practical mein yeh regulation bahut confusing aur adhik bhari hai. Main to pata hai ki aapko apne company ka business registration karwaana hoga, aur uske baad bhi aapko registration ke liye document submit karna hoga. Isse jaldi mein lag bhag koi bhi confusion ho sakta hai.
