Every time my friend's mom gets stuck with a fake 'agent' who doesn't deliver the promised 'best' job, I think of Section 34 of the Companies Act.
company judiciary intermediate law_vs_lifeYou see, this section says that when a director or a management is involved in any fraud or misrepresentation, they can be held liable. But here's the catch - they only get held liable if the board of directors has approved the 'fraudulent' activities. My friend's mom got scammed by a realtor who promised her a high-paying job in the US, but never delivered. She's still out 5 lakhs. Section 34 comes to mind because it highlights how easily companies can get away with shoddy practices, as long as they follow the paperwork.
