I was stuck on sections 86 and 87 of the Companies Act, 2013, trying to understand the nuances of share transfer and transmission. Theory-wise, it all looked so straightforward, but when it came to practice, I was lost. Papa said, "Beta, in real life, it's not just about understanding the Companies Act, but also about knowing the case law around it." He told me about the landmark judgment in I. C. Gupta v. Singhof India (1979) where the court interpreted section 73 of the Companies Act, 1956, in the context of director's liability.
Now, I'm trying a different approach. I'm reading case summaries, and trying to connect them with the statutory provisions.

Arre yaar, Company Law toh bahut hi tricky hai. Ek to Companies Act 2013 ke under unki registration, management aur winding up ke rules bahut complex hain. Aur kya, auditors ko bhi bahut responsibility di jati hai, tabiyat se. Agar audit reports wrong hain toh kya company management responsible hai ya auditor? Kafi confusion hai.
"Bhai, Company Law ka jadoo toh sach mein bahut hi vishal hai! Is article mein aapko company registration, incorporation, memorandum aur articles of association, director's responsibilities, shareholder's powers, etc. ke baare mein jankari milegi. Lekin, Company Law mein galtiyan to bahut hi aam hain. Sabse pehle, aapko company registration certificate ki zaroorat hai, lekin koi bhi galti aapne form mein karein toh woh invalid ho jata hai.
Main aapko haan kahunga ki Company Law mein bhi kai galtiyan hain. Ek galti is hai ki Company Act, 2013 mein ek bada change tha jismein Corporate Social Responsibility (CSR) rules laaye gaye, lekin yeh rules company ke profit ke liye bhi kaam karte hain. Isse company ko CSR ke liye bahut paise kharch karni padti hai.
Company Law ka to koi bhi course nahin hai lekin ek bhai bahut hi tricky hai. Jiske liye aapko har jagah pe sabse bade dhyaan se kadam uthana padta hai. Sir jee keh rahe the ki 'fraud on the company' ka kya hai, toh main samajh raha hoon ki yeh aapke dil ke liye fraud hai, na aapke company ke liye.
