company ap_lawcetDebunking Myths About Company Law for Law Aspirants
You know, jab mera first moot tha, I used to think Company Law was as exciting as watching paint dry. But, over time, I realized there's so much more to it. Let's get into it and separate fact from fiction. One common myth is that Company Law is all about boring rules and regulations. But, it's not just about that. Company Law is about governance, accountability, and corporate responsibility. And, trust me, it's not just about big corporations; it's about individual entrepreneurs and small businesses too. So, let's bust some myths:- Myth: Company Law is an outdated concept.
- Myth: Company Law is only for big corporations.
- Myth: Company Law is restrictive and stifles entrepreneurship.
- Myth: Company Law is only about tax evasion and money laundering.
Reality: Company Law has evolved significantly over time. India's Company Law, for instance, is based on the British Companies Act of 1860, but our Companies Act, 2013, is a modernized version that reflects the changing business landscape.
Reality: Companies Act, 2013, applies to all types of companies, whether they're big or small, public or private. In fact, Section 2(20) of the Act defines a company as "an entity incorporated under the Companies Act, 2013."
Reality: On the contrary, Company Law provides a framework for entrepreneurship to flourish. For instance, the Act allows for startup companies to register with the Registrar of Companies (ROC) under the Simplified Pro forma and Limited Authorised Capital (SPICe+) scheme.
Reality: While these are serious issues, Company Law is also about promoting corporate social responsibility, sustainability, and transparency. For example, Section 135 of the Act requires companies with a net worth of 500 crores or more to spend 2% of their average net profits on Corporate Social Responsibility (CSR) initiatives.
